Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of services provided by ESSQUARE LLC dba ESSQUARE RIDES ("Company", "we", "us"). By accessing or using our website, mobile applications, or other services (collectively, "Services"), you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility

To use certain Services you must be at least 18 years old and legally permitted to work and/or operate a vehicle in the jurisdiction where you plan to provide rideshare services. Specific driver eligibility requirements (including vehicle ownership, lien status, insurability, and background checks) are described in onboarding materials.

3. Services Provided

We operate an Uber fleet program that connects eligible drivers with ride-share opportunities through the Uber Driver App, provides access to fleet insurance programs, and may offer incentives or bonuses. The Company does not employ drivers unless explicitly stated in a separate agreement.

4. Driver Relationship

Drivers are independent contractors unless otherwise agreed in writing. Nothing in these Terms creates an employer-employee relationship, partnership, joint venture, or agency between you and the Company.

5. Accounts and Registration

You agree to provide accurate, current, and complete information when creating an account and to keep your account information up to date. You are responsible for maintaining the confidentiality of account credentials and for all activity under your account.

6. Payments & Fees

Payments to drivers, fees charged by the Company, and any deductions will be described in driver agreements, schedules, or onboarding documents. The Company reserves the right to modify payment structures, fees, or billing methods with notice where required by law.

7. Insurance & Liability

We provide access to our commercial insurance policy. Coverage, eligibility, and limits vary by jurisdiction and provider.

8. Driver Obligations

  • Comply with all applicable laws and platform terms of service.
  • Maintain a valid driver's license and required vehicle documents.
  • Keep the vehicle in safe, operable condition and report accidents or incidents promptly.

9. Prohibited Conduct

You must not engage in unlawful activity, fraudulent behavior, harassment, or any conduct that harms passengers, other drivers, or the Company's reputation.

10. Intellectual Property

All content on the Services (design, text, logos, images, software) is owned or licensed by the Company. You may not use our trademarks or copyrighted materials without prior written permission.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR LICENSORS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES.

13. Indemnification

You agree to indemnify and hold harmless ESSQUARE LLC and its affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms or your negligent or willful acts.

14. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms, applicable law, or platform policies. Termination does not limit any other remedies we may have.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of State of California, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms shall be resolved in the state or federal courts located in State of California, unless the parties agree in writing to arbitration.

16. Changes to Terms

We may modify these Terms from time to time. When changes are material, we will provide notice via the Services or other means. Continued use after notice constitutes acceptance of the updated Terms.
